Licence sales terms (Pro and Team)

These terms apply when you buy a Pro or Team licence key (a "Key") for LLLanyard (the "Software") from Ethan Askew trading as LLLanyard, 119 Ridgehill Avenue, Intake, Sheffield, S12 2GN ("we", "us"). They work alongside the Business Source License 1.1 the Software is published under, which continues to apply in full.

1. What you get

1.1 A Key that raises the Software's limits and unlocks the paid features of the plan you bought (Pro or Team), for the number of users ("Seats") and the period ("Term") shown at checkout. The limits for each plan are shown on the pricing page.

1.2 A Seat is one person. Each person covered by a Seat may use the Key on the devices and servers they use for your organisation. You may not share the Key outside your organisation, publish it, resell it or transfer it.

1.3 The Key does not change the Software's licence. In particular, you may not remove, bypass or tamper with its licence checks or limits, as set out in the Business Source License's Additional Use Grant.

1.4 Keys are verified on your own machine. In the last week of a Term, the Software asks our server for the renewed Key; each renewed Key is also emailed to you.

2. Business customers only

You confirm you are buying for the purposes of your trade, business or profession, including as a sole trader or freelancer, and not as a consumer. If you are buying as a consumer, please don't buy a Key: these terms don't reflect consumer statutory rights. The free tier is available to everyone.

3. Price, payment and renewal

3.1 Prices are shown at checkout in pounds sterling. The price shown is the price you pay: no VAT or other charge is added.

3.2 Payment is taken by Stripe, monthly or yearly in advance as you choose at checkout. Your subscription renews automatically for the same Term until it is cancelled. You can cancel at any time by emailing sales@lllanyard.co.uk; your Key keeps working until the end of the Term you have paid for.

3.3 A promotion code applies only as described when you use it (for example, a percentage off for a set number of months) and has no cash value.

3.4 To add or remove Seats, email us. Added Seats are charged for the rest of the current Term; removed Seats take effect at the next renewal.

3.5 If a payment fails or a Term ends without renewal, the Key stops working 7 days after the end of the Term and the Software returns to the free tier. Keys already stored keep working; you just can't add more than the free limit. We never delete anything on your machines.

3.6 Fees are non-refundable, except where these terms or the law say otherwise.

4. Support

Paid plans include support by email at sales@lllanyard.co.uk. We aim to reply within 2 working days. This is a target, not a guarantee. Support covers the unmodified Software only.

5. Your responsibilities

LLLanyard reduces the ways API keys can leak to AI agents and scripts, but no software can make keys completely safe. The README's security model and "Honest limits" sections explain what it does and doesn't protect against. You remain responsible for the security of your devices, your keys and the providers' accounts they belong to, including rotating keys you believe are exposed.

6. Liability

6.1 Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that can't lawfully be limited or excluded.

6.2 Subject to 6.1, the Software is provided "as is", and we are not liable for loss of profit, revenue, business, contracts, goodwill or data, for charges run up on your API accounts or the misuse of your keys, or for any indirect or consequential loss.

6.3 Subject to 6.1, our total liability under or in connection with these terms in any 12-month period is limited to the fees you paid us for the Key in that period.

7. Suspension and termination

We may revoke a Key or refuse to renew it if you materially breach these terms or the Software's licence (for example by sharing the Key outside your organisation or bypassing licence checks) and, where the breach can be put right, you have not done so within 14 days of our notice.

8. Changes

We may update these terms for future Terms by giving at least 30 days' notice by email. The version in force when a Term starts applies to that Term.

9. General

9.1 These terms and the Business Source License 1.1 are the whole agreement between us about the Key.

9.2 These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
